Legal Structure of our Lux Funds

Funds are generally structured as closed-ended limited partnerships which require Limited Partners to commit capital for the finite term of the partnership, typically 10 years. While the Limited Partners are aware of the general strategy of the fund, they do not have a say in the choice of target companies that the fund will invest in.

Our Luxembourg funds are structured as Special Limited Partnerships (société en commandite spéciale).

Our structure covers the entire regulatory framework needed to launch a venture capital fund in the European Union, including Vauban’s General Partner and Investment Management entities, which provides unprecedented flexibility to launch a fund in Europe. Using our “hosted” solution, we will be able to set up a fund within days, and allow fund managers to deploy capital swiftly.
